1. Definitions and applicability
These terms and conditions apply to all quotations, offers and agreements between Evogrid (Dutch Chamber of Commerce no. 42089733) and its business clients. Deviations apply only if agreed in writing. Any purchasing or other terms of the client are expressly rejected.
2. Quotations and formation
Quotations are without obligation and valid for 30 days, unless stated otherwise. An agreement is formed upon written acceptance of the quotation, or as soon as Evogrid begins performance with the client's consent. Upfront models and advice are based on the data supplied by the client; the client warrants the accuracy of that data.
3. Performance
Evogrid carries out its assignments to the best of its knowledge and ability, as a best-efforts obligation. Stated lead times are indicative and are not strict deadlines, unless agreed otherwise in writing. Evogrid may engage third parties for the performance of an assignment.
4. Prices and payment
Prices exclude VAT. Invoices are payable within 30 days of the invoice date, unless agreed otherwise in writing. In the event of late payment, the client owes the statutory commercial interest and reasonable collection costs.
5. Obligations of the client
The client provides, in good time, the data, access and cooperation reasonably required for performance — including correct information about installations, grid connection and consumption. Delays or additional work caused by the absence of these are for the client's account.
6. Intellectual property
All rights to software, models, reports and documentation used or developed by Evogrid are vested in Evogrid or its licensors. The client receives a non-transferable right of use for the purpose for which they were supplied.
7. Liability
Evogrid's liability is limited to direct damage and to the amount invoiced and paid for the assignment concerned. Liability for indirect damage — including consequential damage, lost profit and missed savings on energy costs — is excluded, except in cases of intent or deliberate recklessness. Forecasts and upfront models are careful estimates based on data and market conditions; no guaranteed results can be derived from them, unless agreed otherwise in writing.
8. Confidentiality and data
The parties treat each other's confidential information as confidential. Our privacy statement applies to the processing of personal data.
9. Termination and force majeure
Continuing agreements may be terminated in accordance with the notice period laid down in the agreement. In the event of force majeure — including faults at grid operators, energy markets or hosting providers beyond Evogrid's control — obligations are suspended for as long as the force majeure lasts.
10. Governing law
All agreements are governed by Dutch law. Disputes will be submitted to the competent Dutch court.
